terms and conditions

Vimeo.com, Inc. (“Vimeo”) is pleased to present Vimeo REFRAME 2025 (the “Event”), a conference hosted at Center 415, 415 5th Avenue, New York City, New York 10016 (the “Event Premises”). These terms and conditions apply to all individuals registered to attend the Event, whether in person or virtually (collectively referred to as “Attendee” or “you”).

1. Event Registration and Attendance

1.1 Registration

Registration for the Event is required for attendance and is subject to Vimeo's approval. You must be at least 18 years of age or older to register and attend the Event. You may not register for or attend the Event if you are employed by or affiliated with any direct competitor of Vimeo, as determined in Vimeo's sole discretion. You may not access or use any Content for any competitive purposes, including to build a competitive product or service. “Content” means any materials, presentations, information, or data provided or made available at the Event, including recordings, photographs, and live streams. Space is limited and tickets will be sold on a first-come, first-served basis.

If you are a government employee or official, you must (a) identify yourself as such during the registration process; and (b) comply with all applicable rules and regulations imposed by your employing agency, including those rules and regulations relating to the acceptance and disclosure of gifts and gratuities.

By registering for the Event, you acknowledge that you have read, understood, and agreed to these terms and conditions. You further acknowledge that your participation in the Event is subject to these terms, and you agree to comply with all applicable laws and regulations.

1.2 Event Credentials

Tickets or any other applicable Event credentials are non-transferable and intended solely for the original registrant. Unauthorized sharing, resale, or attempted transfer of these items is strictly prohibited and may result in cancellation of the registration without refund and a ban from future Vimeo events.

1.3 Payments and Refunds

You are responsible for all fees and charges associated with your attendance or participation in the Event, including, but not limited to, registration fees and any applicable service fees. A full schedule of such fees and charges will be made available to Attendee at registration checkout or as otherwise disclosed in the Event's promotional materials. Vimeo is utilizing a third-party payment processor for the collection and processing of all Event-related payments, and by submitting payment information, Attendee authorizes such processing. All fees and charges shall be denominated in United States Dollars. Any applicable taxes, duties, or other governmental assessments shall be the sole responsibility of the Attendee.

All fees are nonrefundable except, if Vimeo cancels the Event, Vimeo will issue you a full refund of the ticket purchase price.

1.4 Coupons and Discounts

Vimeo may offer discount codes or coupons at its discretion. To use a code, enter it in the designated field during checkout. The discount may apply to the entire registration fee or a portion of the registration fee. Limit one coupon or discount code per Attendee. Coupons or discount codes are valid only for the Vimeo REFRAME 2025 Event and are not otherwise applicable. Coupons, discount codes, and promotional offers are non-transferable and may not be combined with any other offer unless explicitly stated by Vimeo. Vimeo reserves the right to modify, cancel, or revoke any coupon or discount code at any time for any reason. Vimeo reserves the right to refuse to honor any coupon, discount code, or promotional offer that it believes in good faith to be fraudulent, invalid, or obtained through unauthorized channels. The use of a coupon or discount code does not guarantee registration for the Event, and all registrations are subject to availability. Void where prohibited by law. 

1.5 Confirmation and Updates

Upon registration, you will receive a confirmation email with essential Event details. Vimeo may also send electronic communications with updates, logistical information, and other relevant Event information. Attendee is responsible for providing and maintaining a valid email address for all communications related to the Event. Attendee is also responsible for regularly reviewing communications sent to the provided email address by Vimeo. The Event may feature third-party sponsors (“Sponsors”) with exhibition spaces and informational materials. Vimeo reserves the right to share your registration information with Sponsors, who may subsequently use it for promotional communication purposes. For more information on how Sponsors will process your data, please refer to their respective privacy policies.

1.6 Event Changes and Cancellation

Vimeo reserves the right to modify any aspect of the Event, including but not limited to the date, format, Content, Event speakers and presenters, venue, or schedule. In case of a date change, your registration will automatically transfer to the new date. Vimeo reserves the right to modify or discontinue any virtual components of the Event at any time without notice. Vimeo reserves the right to cancel the Event at any time. Vimeo is not liable for any travel or accommodation expenses you may incur due to changes or cancellation of the Event. 

1.7. Virtual Attendance

1.7.1. Eligibility and Access: If you attend the Event virtually, you are subject to these terms and conditions, with the exception of provisions specifically pertaining to on-site participation at the Event, including Sections 1.3 (Payments and Refunds), 1.4 (Coupons and Discounts), 1.8 (Badge Usage), 1.9 (Travel Requirements), 1.10 (Hotel Accommodations), and 4 (Food and Beverage). Registration for virtual attendance does not grant access to any in-person portions of the Event and will not grant entry to the Event Premises.

1.7.2. Virtual Platform: Vimeo will provide a designated virtual platform for virtual attendees to access and participate in the Event. Access to the virtual platform may require specific software or hardware, and it is the responsibility of the virtual attendee to ensure they have the necessary technology and internet connection to participate fully in the virtual experience.

1.7.3. Content and Participation: Virtual attendees will have access to live streams of select sessions, keynote presentations, and other designated content as determined by Vimeo. They may also have opportunities to participate in Q&A sessions, polls, and other interactive elements of the Event. Vimeo reserves the right to limit or modify the Content and features available to virtual attendees. Vimeo may offer exclusive Content or activities for in-person attendees that are not available to virtual attendees. Vimeo is not responsible for any content provided by other virtual attendees.

1.7.4. Technical Issues: Vimeo will make reasonable efforts to ensure the smooth operation of the virtual platform. However, Vimeo is not responsible for any technical issues or interruptions that may arise due to internet connection, hardware, software, or other factors beyond Vimeo's control.

1.8 Badge Usage

In-person Attendees must check-in when arriving at the Event. Attendees will receive an Event badge, which must be worn at all times within the Event Premises. Badges may have certain capabilities that enable the sharing of Attendee information with Vimeo, Sponsors, and other Event attendees. Vimeo may, but is not obligated to, provide you with the ability to configure what data can be shared with these parties or opt-out of Event tracking entirely. Badges are the property of Vimeo and must be returned to Vimeo at the conclusion of the Event. Vimeo reserves the right to charge Attendee for any expenses or fees for any badges that are not returned by Attendee. 

1.9 Travel Requirements 

It is the sole responsibility of the Attendee to obtain any necessary visas or travel documents for attending the Event. Vimeo is not responsible for any travel-related expenses.

1.10 Hotel Accommodations 

Vimeo may provide information about or links to certain hotels that may offer discounted rates for Event Attendees (“Partner Hotels”). This information is provided solely for convenience. Vimeo does not own, operate, manage, or control any Partner Hotels. Any bookings, payments, or arrangements made with a Partner Hotel are solely between the Attendee and the respective hotel. Vimeo is not a party to any such transaction and expressly disclaims any and all liability related to your hotel accommodations, including but not limited to room availability, rates, quality of service, safety, or any issues arising from your stay. All terms and conditions of the Partner Hotel will apply to your booking. Attendees are responsible for all their hotel costs and for resolving any disputes or issues directly with the Partner Hotel.

2. Photography, Recording, and Media

2.1 Consent to Capture and Waiver

By attending the Event, you consent to Vimeo's and Sponsor's unrestricted, irrevocable, royalty-free, worldwide, and perpetual right to record, film, photograph, or capture your likeness in any media format at the Event. This encompasses but is not limited to, photographs, videos, audio recordings, and live streams. You grant Vimeo and any Sponsor the right to utilize, reproduce, modify, distribute, broadcast, or otherwise disseminate this media in any medium for marketing, promotional, educational, or any other business purpose, in perpetuity, without requiring further approval from you or any form of compensation. This includes the right to edit such media, use it independently or in conjunction with other information, and permit others to utilize or distribute it. By attending the Event, you release Vimeo and all Sponsors from all claims related to the use of your name, image, likeness, voice, and/or statements captured during the Event, and waive any right to inspect or approve the final material. Vimeo may permit certain third party partners to use, publicly display, and distribute photographs, audio, or video recorded during the Event for their own respective business purposes.

2.2 Attendee Recording

Recording or broadcasting substantial portions of Event sessions, presentations, or activities, in any form (audio, video, or otherwise) is strictly prohibited, except with the express written consent of Vimeo. Any prohibited recording or broadcasting may result in removal from the Event. Vimeo, its licensors and content providers reserve all of their right, title and interest in and to the Content, including all of their related intellectual property rights. No rights are granted to you hereunder other than as expressly set forth herein.

3. Conduct and Behavior

3.1 Professionalism and Respect

Vimeo expects all Attendees to conduct themselves in a professional and respectful manner at all times during the Event. Harassment, discrimination, or offensive behavior of any kind will not be tolerated. This includes, but is not limited to:

• Verbal or physical harassment, including unwelcome sexual advances, requests for sexual favors, and other verbal or physical conduct of a sexual nature.
• Discrimination based on race, gender, sexual orientation, religion, disability, age, or any other protected characteristic.
• Threats, intimidation, or bullying.
• Disruptive behavior, such as heckling Event speakers or presenters, interrupting sessions, engaging in loud or disruptive conversations, or interfering with Sponsor exhibits or personnel.
• Behavior that violates local, state or federal laws.
• Any other behavior that creates a hostile or uncomfortable environment for other Attendees or Vimeo employees.

Please self-assess your health before attending the Event and refrain from attending the Event if exhibiting flu or Covid-19 symptoms (or symptoms of similar transmissible illnesses).

3.2 Unauthorized solicitation

Attendee shall not engage in any form of solicitation or commercial activity in public areas of the Event without the express written consent of Vimeo. Authorized solicitation must be conducted within designated exhibition areas. Attendees found to be in violation of this policy may be immediately removed from the Event.

3.3 Removal from Event 

Vimeo reserves the right to remove any Attendee from the Event, without refund, for violating any of these terms, including but not limited to engaging in disruptive, unprofessional, or inappropriate behavior or unauthorized solicitation.

3.4 Security 

Security measures and instructions may be implemented for the safety of all Attendees. You agree to comply with all security measures and instructions, including, but not limited to, wearing an Event badge at all times, not sharing your badge with others, submitting to bag checks, and not leaving any items unattended. You further agree not to bring any prohibited items, including firearms or other weapons, explosives, hazardous materials, bicycles, skateboards, in-line roller skates, or illegal substances, to the Event. Smoking, vaping, and animals are not permitted on the Event Premises (except for service animals). Failure to comply with these security measures may result in Attendee's removal from the event and the forfeiture of any paid fees.

4. Food and Beverage

4.1 Dietary Needs

Food and beverage will be provided to in-person Attendees only. Please indicate any dietary restrictions or preferences during registration. Vimeo will make reasonable efforts to accommodate dietary needs and accurately label food on the buffet. However, we cannot guarantee the complete accuracy of food labels or that cross-contamination can be completely avoided. Attendees with severe allergies or dietary restrictions are strongly encouraged to take necessary precautions.

4.2 Alcohol

Alcoholic beverages may be served to registered Attendees over the age of 21 at the Event. Attendees must consume alcohol responsibly. Service may be refused to anyone who appears to be intoxicated or who is not of legal drinking age. Attendees are strictly prohibited from furnishing alcoholic beverages to any individual under the age of 21 at the Event.

Your attendance of or participation in the Event or any related activities is completely voluntary. Vimeo does not guarantee admittance to all or any part of the Event. Unless specified otherwise, all event sessions, breakouts, keynotes or other activities, if applicable, are seated on a first-come, first-served basis. By attending the Event, you acknowledge and voluntarily assume all risks and hazards associated with such attendance or participation, including, but not limited to, the risk of sickness or personal injury, property damage, or loss, including any risks arising from interactions with Sponsors or their materials or exhibits. 

You agree to indemnify, defend, and hold harmless Vimeo, its affiliates, officers, employees, agents, suppliers, contractors, and Sponsors from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your attendance or participation in the Event, your violation of these terms, or your violation of any applicable laws or regulations.

7. Disclaimers

VIMEO MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND VIMEO SPECIFICALLY DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. 8. Limitation of Liability

IN NO EVENT WILL VIMEO, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO ATTENDEE OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH ATTENDEE'S ATTENDANCE, PARTICIPATION, OR INABILITY TO ATTEND OR PARTICIPATE IN THE EVENT, ANY INTERACTIONS WITH OR RELIANCE ON SPONSORS OR SPONSOR MATERIALS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT VIMEO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. General Terms

Vimeo reserves the right to modify these terms at any time, with or without notice. Any modifications will be effective immediately upon posting the revised terms on the Event website or other location designated by Vimeo. Your continued participation in the Event following the posting of any changes constitutes your acceptance of those changes.

These terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

These terms constitute the entire agreement between you and Vimeo regarding your attendance and participation in the Event. These terms supersede all prior or contemporaneous communications and proposals, whether oral or written.

If any provision of these terms is held to be invalid or unenforceable, that provision shall be struck from the terms, and the remaining provisions shall remain in full force and effect.

No waiver of any term of these terms shall be deemed a further or continuing waiver of such term or any other term. 

Vimeo shall not be liable for any delay or failure to perform its obligations under these terms if such delay or failure is due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, lockouts, riots, acts of government, natural disasters, epidemics, pandemics, or other similar events.
